The new shares equal 7.54% of Bonjour’s existing 62.50 million issued shares and will expand the share capital to 67.21 million, implying a 7.02% post-issue dilution for current investors. The subscription price represents a 7.48% discount to the 12 October closing price of HK$1.55 and a 19.90% discount to the five-day average of HK$1.79.
Subscribers and Allocation • First Subscriber (Mr. Ko Kin Hang): 2.65 million shares for HK$3.80 million • Second Subscriber (Mr. Zhang Yu): 2.06 million shares for HK$2.96 million
Both subscribers are classified as Independent Third Parties. The shares will be issued under the existing General Mandate, eliminating the need for additional shareholder approval. Completion is contingent on customary conditions, including board resolutions, regulatory compliance and Stock Exchange listing approval, and must occur by 31 October 2026 unless extended.
Proceeds and Intended Use Net proceeds are estimated at HK$6.70 million (net price: HK$1.421 per share) and will be allocated as follows: • 15% to private-label/OEM product development • 15% to enhance the HKMALL platform and integrate online-offline retail • 10% to brand promotion and customer acquisition • 10% to expand wholesale and cross-border channels • 10% to build a Shenzhen-based livestreaming and content e-commerce team • 10% to product sourcing and supply-chain initiatives • 30% to general working capital, including staff and rental costs
Shareholding Impact Post-issuance, Chairman Chen Jianwen’s stake falls from 30.11% to 28.00%. Public float remains above 60%, while the First and Second Subscribers will hold 3.95% and 5.73%, respectively.
Transaction Rationale Management views the equity placement as a means to diversify the shareholder base, bolster liquidity and fund e-commerce, retail and wholesale expansion without incurring additional debt. The board considers the terms fair and commercially reasonable.
Recent Capital Activity Over the past 12 months, Bonjour raised HK$17.22 million net through two prior share subscriptions (February and March 2026), with proceeds fully deployed toward working capital, staff costs, rental payments, debt servicing and professional fees.
Listing Application Bonjour will seek listing approval from the Stock Exchange for the new shares. Given that completion remains subject to several conditions, the company has advised investors and shareholders to exercise caution when trading its securities.
