On 12 October 2026, LK Technology Holdings Limited (LK Technology) announced that six financial investors—FIIF, Industrial Machinery Industry Investment Fund, CICC SAIC Emerging Industry Fund, Shenzhen Pengyuan, Shenzhen Cornerstone SME and Yantai Huijia—have exercised previously granted repurchase options covering 89.50 million shares of Shenzhen LK. The stake represents approximately 14.60% of Shenzhen LK’s current issued share capital.
Under shareholders’ agreements dated 14 September 2023 and 5 December 2023, the investors are contractually entitled to require Shenzhen LK, now a joint-stock company, to buy back their holdings. The aggregate repurchase consideration is estimated at RMB 2.38 billion, calculated as the investors’ original RMB 1.88 billion outlay plus simple interest of 7% per annum, less dividends already received for 2025.
Payment will be funded from LK Technology’s internal resources and is slated to be settled in four cash instalments: • 40% (approximately RMB 883.43 million) by 12 October 2026 • 20% (approximately RMB 471.43 million) by 30 June 2027 • 20% (approximately RMB 497.81 million) by 30 June 2028 • 20% (approximately RMB 524.07 million) by 30 June 2029
The instalment amounts include accrued interest to the assumed payment dates and remain subject to adjustment for any timing or proportion changes.
Following cancellation of the repurchased shares, LK Technology’s indirect ownership in Shenzhen LK will rise from 81.34% to 95.24%, while Shenzhen LK will continue to be consolidated in the group’s financial statements.
The repurchase had been treated as a major transaction when the options were granted in 2023, and shareholder approval was obtained at that time. LK Technology will issue further disclosures in line with Hong Kong Listing Rules as the transaction progresses.
