Haichang: HK$1.11 billion Share Transfer to HH SeaPark Holding Triggers Shareholding Reshuffle

Bulletin Express
Jul 30

Haichang Ocean Park Holdings Ltd. disclosed two share purchase agreements (SPAs) dated 30 July 2026 that will significantly realign its shareholder base, subject to completion.

Under SPA1, non-executive director and substantial shareholder Mr. Qu Cheng, through Zeqiao Holdings Limited, will transfer 1.20 billion shares (9.08 % of issued capital) to HH SeaPark Holding for approximately HK$360 million, or HK$0.30 per share.

SPA2 stipulates that controlling shareholder Sunriver Starrysea Tourism (Cayman) Co., Ltd. will sell 1.67 billion shares (12.67 %) to the same buyer for about HK$753.55 million, or HK$0.45 per share.

If both transactions close and the share count remains unchanged: • Mr. Qu Cheng’s stake will fall from 3.73 billion shares (28.21 %) to 2.53 billion shares (19.13 %). • Sunriver Starrysea’s holding will decline from 5.10 billion shares (38.60 %) to 3.43 billion shares (25.92 %), causing it to lose its controlling-shareholder status. • HH SeaPark Holding, ultimately owned by Mr. Mei Ming Zhi and independent of Haichang, will emerge with 2.87 billion shares (21.75 %), becoming a substantial shareholder.

The board does not anticipate any material adverse impact on day-to-day operations. Completion is pending, and the company will issue further announcements as required. Shareholders and potential investors are advised to exercise caution.
