FOURSEMI Calls 3 Nov 2026 Extraordinary General Meeting to Approve New H-Share Incentive Scheme

Shanghai FourSemi Semiconductor Co., Ltd. (FOURSEMI) has scheduled its first Extraordinary General Meeting (EGM) of 2026 for 10:00 a.m. on 3 November 2026 at the company’s headquarters, Building 1, No. 2007 Hongmei Road, Xuhui District, Shanghai.

The agenda lists three special resolutions: 1. Adoption of the 2026 H Share Incentive Scheme. 2. Approval of a dedicated Service Provider sub-limit within the plan. 3. Authorization for the Board, or designated persons, to execute all matters related to the incentive scheme.

Voting will be conducted by poll. Shareholders recorded on 3 November 2026 will be eligible to vote. To qualify, H-shareholders must complete share transfers with Computershare Hong Kong Investor Services by 4:30 p.m. on 28 October 2026; domestic shareholders must complete similar procedures at the company’s Shanghai office by the same deadline. The register of H-shareholders will be closed from 29 October to 3 November 2026, inclusive.

Shareholders may appoint one or more proxies, who need not be shareholders. Proxy forms and any notarised powers of attorney must be submitted at least 24 hours before the meeting.

FOURSEMI’s board currently comprises four executive directors, two non-executive directors and three independent non-executive directors, chaired by Mr. Xu Xiaolin.
