Royale Home Holdings Limited announced a leadership reshuffle in its company secretarial function effective 27 August 2026. Ms. Zhong Yuhua and Mr. Cheng Ching Kit have resigned as Joint Company Secretaries. Mr. Cheng has also stepped down from his roles as Authorised Representative under Main Board Listing Rule 3.05 and as Process Agent under Part 16 of the Hong Kong Companies Ordinance and Listing Rule 19.05(2). Both departing executives confirmed no disagreement with the Board and cited no matters requiring shareholder attention.
To ensure continuity, the Board has appointed Ms. Zhao Xiaoqing and Ms. Lam Chin Hei as new Joint Company Secretaries, with Ms. Lam additionally assuming the positions of Authorised Representative and Process Agent.
• Ms. Zhao joined Royale Home in April 2024 and currently serves as Deputy Director of the Securities Affairs Department. She previously managed the Comprehensive Management Office and the Securities Affairs Department. She holds a BA in Chinese Language and Literature from Beijing Normal University (2017) and an MA in Philosophy (Aesthetics) from Sun Yat-sen University (2021). • Ms. Lam, an assistant manager at SWCS Corporate Services Group (Hong Kong) Limited, brings over six years of corporate secretarial experience. She is an associate member of The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK), and holds a BBA in Finance from City University of Hong Kong and an LLM in International Economic Law from The Chinese University of Hong Kong. Ms. Lam meets the professional qualification criteria for company secretaries under Listing Rules 3.28 and 8.17.
Because Ms. Zhao does not yet satisfy the formal academic or professional requirements of Rule 3.28, the Stock Exchange has granted Royale Home a three-year waiver from strict compliance with Rules 3.28 and 8.17. Key conditions include: 1) Ms. Zhao must be assisted by Ms. Lam throughout the waiver period; and 2) the waiver may be revoked upon any material breach of the Listing Rules.
Before the waiver expires, Royale Home must demonstrate to the Stock Exchange that Ms. Zhao has obtained sufficient experience to fulfil the company secretary role independently. The Board expressed its appreciation to Ms. Zhong and Mr. Cheng for their past contributions and welcomed Ms. Zhao and Ms. Lam to their new positions.
